Senior Commercial Contracts Manager (U.S. Remote)

About the OpportunityWe are seeking an experienced Senior Commercial Contracts Manager to support our client, a leading organization in the educational publishing and digital learning industry.

In this role, you will lead the end-to-end management of complex commercial contracts involving digital and print educational products and services. You will play a key role in developing contract strategies, negotiating commercial agreements, mitigating contractual risks, and supporting business growth.

This opportunity is ideal for a highly experienced contracts professional who combines strong commercial judgment, negotiation expertise, and a solid understanding of licensing, intellectual property, and U.S. regulatory requirements.

Key Responsibilities

• Contract Lifecycle Management: Manage the complete contract lifecycle, including drafting, review, negotiation, execution, amendments, renewals, and termination.

• Commercial Negotiations: Lead negotiations for sales, licensing, rental, distribution, and other complex commercial agreements.

• Contract Drafting: Prepare and revise commercial agreements, Statements of Work (SOWs), confidentiality agreements, amendments, and related contractual documents.

• Risk Management: Identify potential contractual, financial, legal, and operational risks and recommend commercially appropriate mitigation strategies.

• Cross-Functional Collaboration: Partner with Sales, Legal, Finance, business leaders, and other stakeholders to align contractual terms with business objectives.

• Licensing & Intellectual Property: Review and negotiate contractual provisions related to intellectual property rights, licensing restrictions, and commercial usage.

• Regulatory Compliance: Support compliance with applicable U.S. federal and state data privacy regulations and internal company policies.

• RFP/RFI Support: Provide contractual terms, conditions, and responses to support commercial proposals and customer requests.

• Contract Advisory: Interpret contractual obligations, advise stakeholders on contract-related questions, and support the resolution of contractual issues.

• Process Improvement: Identify opportunities to streamline contract workflows, improve turnaround times, strengthen risk management, and increase operational efficiency.

• AI-Enabled Workflows: Effectively and responsibly leverage generative AI tools to support contract review, drafting, research, analysis, and process optimization.

Required Qualifications

• Bachelor's degree in Business Administration, Finance, Law, or a related field.

• Minimum 10 years of professional contract management experience, including drafting, reviewing, and negotiating commercial agreements.

• Extensive experience managing complex contracts, including sales agreements, licensing agreements, distribution agreements, rental agreements, Statements of Work, confidentiality agreements, and technology-related agreements.

• Strong understanding of commercial contract construction, licensing provisions, and intellectual property rights.

• Working knowledge of U.S. federal and state data privacy regulations.

• Excellent contract negotiation, analytical, problem-solving, and decision-making skills.

• Demonstrated ability to collaborate with cross-functional stakeholders and communicate effectively at different organizational levels.

• Excellent written and verbal communication skills, including the ability to explain complex contractual matters clearly.

• Proficiency in Microsoft Word and Excel for contract drafting, review, analysis, and tracking.

• Proficiency in using generative AI tools effectively and responsibly for contract-related activities.

• Strong organizational skills, attention to detail, and ability to manage competing priorities and deadlines.

• Must reside in the United States and be available to work during Central or Eastern Time core business hours.
